You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
2 Subscription and Payment Terms
Our products are offered on subscription or one-time purchase basis. Subscription fees, billing cycles, and renewal terms are outlined at the point of purchase. Payment processing is handled securely by third-party providers such as Stripe.
You may cancel your subscription at any time by providing at least 30 days' written notice. We reserve the right to suspend or terminate your account for any reason, including violation of these Terms, without prior notice.

You agree not to use our services to:
Engage in illegal activities or violate any laws or regulations
Send unsolicited spam or abusive communications
Attempt to reverse engineer, decompile, or misuse the AI chatbot software or any third-party software integrated into our products
Interfere with the security or integrity of our services or other users' use of the service
Violate intellectual property rights of others
4 Intellectual Property
You retain ownership of all content you create or submit through our services. However, Urban Digital Studio LLC and its licensors retain all rights, title, and interest in the software, products, services, trademarks, and intellectual property used to provide the services.
You may not copy, modify, distribute, or create derivative works of our software or platform without prior written permission.
5 Suspension and Termination
We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice or liability, if you violate these Terms or engage in harmful conduct.
You may terminate your account at any time by giving 30 days' written notice. Upon termination, your access to the services will end, but any accrued fees or obligations will remain due.
6 Security Terms
We implement reasonable administrative, technical, and physical safeguards designed to protect your data and privacy. However, no method of transmission or storage is 100% secure. In the event of a security breach, neither Urban Digital Studio LLC nor its affiliates, officers, employees, or agents shall be held liable for any damages or losses arising from unauthorized access to your data.
7 Disclaimers and Limitation of Liability
Our services, including the reputation management platform and AI chatbot, are provided "as is" without warranties of any kind, express or implied.
We do not guarantee that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
If any third-party software, API, or services integrated with our products fail or experience disruptions beyond our control, this may cause temporary or permanent malfunctions or service interruptions for which we are not responsible.
You agree that your use of the AI chatbot is at your own risk and that we do not guarantee the accuracy or suitability of chatbot responses.
8 Indemnification
You agree to indemnify, defend, and hold harmless Urban Digital Studio LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the services, violation of these Terms, or infringement of any third-party rights.
9 Dispute Resolution
Any dispute arising out of or related to these Terms or your use of the services will be resolved through binding arbitration in the State of Michigan, under the rules of the American Arbitration Association. You agree that the exclusive jurisdiction and venue for any court action related to these Terms shall be in the state or federal courts located in Michigan.
10 Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitute your acceptance of the new Terms. We recommend reviewing this page regularly.
